These Terms of Service (“Terms”) govern access to and use of primebarrel.com and related content, products, programs, events, memberships, tools, communications, and services (collectively, the “Services”).
The Services are operated by The Prime Barrel, LLC, a Delaware limited liability company registered to do business in the District of Columbia, doing business as Prime Barrel (“Prime Barrel,” “we,” “us,” or “our”). We operate as a District of Columbia Class A Internet retailer under alcoholic beverage license ABRA-125566. Shopify provides our ecommerce platform.
By accessing or using the Services, creating an account, joining a Membership, or placing an order, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility and Alcohol Restrictions
You must be at least 21 years old to access alcohol-related portions of the Services, create a purchasing account, order or receive alcohol, participate in alcohol-related events, or use alcohol-related Membership benefits.
We may require age, identity, fraud, sanctions, payment, wallet-ownership, or eligibility verification at checkout, before fulfillment, or upon delivery. A lawful recipient must be at least 21, present valid government-issued photo identification when requested, provide any required adult signature, and not appear visibly intoxicated. Alcohol will not be left unattended or provided to an ineligible recipient.
You may not purchase alcohol for anyone under 21 or use the Services to evade alcohol, shipping, tax, sanctions, import, export, or other laws. We may refuse or cancel a transaction when required by law or when we reasonably believe it is unlawful, fraudulent, unsafe, intended for unauthorized resale, or designed to evade purchasing limits.
Alcohol availability, shipping, carriers, delivery methods, and permitted destinations vary. We offer shipping to many destinations within the United States and may offer or arrange shipping to eligible international destinations, in each case where legally permitted and operationally available. Checkout availability does not guarantee that every product may be fulfilled to every destination.
2. Accounts and Information
You may be required to provide contact, billing, payment, delivery, age, identification, or other information. You represent that information you provide is accurate, current, complete, and yours to provide.
You are responsible for safeguarding account credentials and activity under your account. Notify us promptly at hello@primebarrel.com if you suspect unauthorized access. You may not sell, transfer, assign, or license an account. We may reject, suspend, or close an account that contains false information, violates these Terms, or creates fraud, security, safety, or legal risk.
3. Products and Content
We try to describe and display products accurately. Photographs, colors, labels, packaging, fill levels, vintages, batches, barrel numbers, age statements, proof, and other details may appear differently on a device and may change. Images may be illustrative. The product description and accepted order identify what you are purchasing.
Single-barrel selections, limited releases, allocated products, and event inventory may be available in small quantities. All products are subject to availability. We may impose customer, household, account, payment-method, or geographic limits; discontinue products; correct errors; and reject attempts to evade restrictions.
We will not substitute a materially different product without authorization where authorization is required by law. Contact us before ordering if a specific label, batch, packaging detail, or other characteristic is essential.
Tasting notes, reviews, serving suggestions, market observations, historical information, and educational materials are opinions or general information—not medical, legal, tax, financial, or investment advice. We do not guarantee subjective taste, collectability, resale value, scarcity value, or appreciation. Consume responsibly and do not drink and drive.
4. Orders and Acceptance
An order is an offer to purchase. An automated acknowledgment or payment authorization confirms receipt but not acceptance. We accept an order when we expressly confirm acceptance, send a shipping confirmation, or begin fulfillment, subject to applicable law.
We may reject or cancel before acceptance because of unavailability, pricing or description errors, fraud concerns, purchasing limits, shipping restrictions, failed verification, or legal requirements. If we cancel after charging you, we will issue the appropriate refund to the original payment method.
Review your order before submitting it. After acceptance, allocation, minting, or fulfillment begins, cancellation or modification may be unavailable. Our Refund Policy and Shipping Policy apply. Nothing in these Terms limits a non-waivable consumer right.
Unless we agree otherwise in writing, purchases are for personal use—not unauthorized commercial resale, unlawful export, market manipulation, or speculative acquisition. We may cancel orders associated with bots, resellers, false identities, duplicate accounts, or efforts to evade product limits.
5. Prices, Fees, Promotions, and Payment
Prices, discounts, inventory, and promotions may change before acceptance. The amount charged will be shown at checkout, subject to correction of an obvious error. Unless stated otherwise, prices exclude applicable taxes, shipping, handling, adult-signature charges, customs duties, brokerage, network fees, and other disclosed costs.
Promotions, drawings, presales, charitable campaigns, Memberships, and special releases may have additional terms. Specific terms control for that offering if they conflict with these Terms. Promotions are void where prohibited.
You authorize us and our processors to charge the payment method provided for the checkout total and any additional amount you separately approve. You represent that you may lawfully use that method. If a price or description is materially incorrect, we may request approval of corrected terms or cancel and refund the order; we will not charge a higher corrected price without consent.
Pricing and fee disclosures presented before final checkout control over general estimates elsewhere on the Services. We do not waive legal requirements concerning mandatory fee disclosure.
6. Shipping and Delivery
Our Shipping Policy is incorporated into these Terms. Processing, shipment, and delivery dates are estimates unless expressly guaranteed. We will ship within the period stated before purchase or, if none is stated, within the period required by law.
If we cannot ship on time, we will provide the delay notice, revised date, consent request, cancellation opportunity, and refund required by law. Carrier, weather, customs, verification, release-schedule, address, and other delays do not eliminate applicable statutory rights.
You are responsible for a complete, accurate, lawful delivery address and for ensuring an eligible adult can receive alcohol. International recipients may be responsible for import authorization, duties, taxes, brokerage, and customs clearance, unless expressly stated otherwise.
Except where law provides otherwise, title and risk of loss pass upon delivery to the lawful recipient. Inspect shipments promptly and preserve products and packaging relevant to a damage or loss claim.
7. Returns and Refunds
Our Refund Policy is incorporated into these Terms. Regulated, scarce, personalized, consumed, opened, minted, or time-sensitive products and services may be final sale, subject to express offer terms and non-waivable rights.
A carrier claim or optional shipping-protection purchase is not a condition of receiving a remedy that we are legally required to provide. Do not return alcohol without written authorization.
8. Memberships and Digital Assets
Memberships, digital collectibles, Tokens, and wallet-connected benefits are governed by our Membership and Digital Asset Terms, which are incorporated into these Terms.
Unless expressly stated otherwise, a Token is an access or verification mechanism. It is not equity, a deposit, legal tender, an ownership interest in Prime Barrel, or a promise of profit, appreciation, liquidity, or resale value. Ownership or transfer does not guarantee availability or lawful delivery of any product.
Public blockchain transactions may be visible and irreversible. You are responsible for wallet security, private keys, recovery phrases, correct addresses and networks, taxes, and third-party fees. We do not control independent wallets, networks, exchanges, marketplaces, protocols, or smart contracts.
9. Events and Experiences
Tastings, barrel selections, trips, educational programs, private events, and other experiences may have additional eligibility, schedule, venue, waiver, travel, cancellation, or safety terms disclosed before purchase or participation.
Alcohol participants must be at least 21 and may need identification. We may refuse service to anyone underage, unable to provide identification, disruptive, unsafe, or visibly intoxicated. Participants are responsible for safe transportation and must not drive or operate machinery while impaired. No waiver applies beyond the extent permitted by law.
10. Charitable Campaigns
Charitable promotions are governed by the applicable product or campaign disclosure and our Charitable Giving Disclosure. A contribution is generated only by a product or campaign expressly identified as eligible under the terms presented with that offer.
Unless expressly stated, charities do not sponsor or endorse Prime Barrel or alcoholic products. Customer suggestions or votes are advisory unless campaign rules state otherwise. Purchases generally are not tax-deductible charitable contributions.
11. Intellectual Property
The Services—including original text, photographs, graphics, videos, audio, software, selection, arrangement, trademarks, and logos—are owned by Prime Barrel or our licensors and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for lawful personal, non-commercial purposes.
Without written permission, you may not reproduce, distribute, modify, create derivative works from, publicly display or perform, republish, scrape, store, transmit, sell, or commercially exploit Service content, except for temporary browser caching or one copy for personal records. No trademark, copyright, patent, or other license is granted except as expressly stated.
“Prime Barrel” and associated marks belong to The Prime Barrel, LLC or its licensors. Shopify’s marks belong to Shopify. Other marks belong to their owners. Appearance of a third-party mark does not necessarily imply endorsement or affiliation.
12. Third-Party Services
The Services may contain third-party tools, content, integrations, payment methods, carriers, wallets, marketplaces, or links. Third-party use may be governed by separate terms and privacy notices. We do not control or endorse every third-party service and are not responsible for its independent content, availability, security, fees, or practices, except where liability cannot lawfully be excluded.
13. Shopify
Shopify supplies ecommerce technology. Purchases from our store are transactions with The Prime Barrel, LLC—not Shopify. Shopify and related providers may process information as described in our Privacy Policy and their notices. Nothing releases any party from liability that cannot lawfully be waived.
14. Privacy
Our Privacy Policy describes personal-information practices. If these Terms conflict with that Policy concerning collection, use, or disclosure of personal information, the Privacy Policy controls.
15. Reviews and Feedback
If you submit reviews, photographs, ideas, or other content (“Feedback”), you grant us a non-exclusive, worldwide, perpetual, irrevocable, sublicensable, royalty-free license to host, reproduce, adapt, publish, translate, distribute, and display it for operating, improving, and promoting the Services, subject to privacy and consumer-protection law. You retain ownership of your Feedback.
You represent that you have necessary rights, the Feedback reflects your honest experience or opinion, material incentives are disclosed, and it does not violate law or another person’s rights. Do not submit malware, unlawful threats, impersonations, confidential data, defamatory statements, or fabricated reviews.
We may apply neutral moderation standards. We will not restrict, penalize, or condition a legal right on suppressing an honest review or complaint. Incentives, if offered, will not be conditioned on positive sentiment.
16. Prohibited Uses
You may not use the Services to:

violate law, sanctions, alcohol restrictions, or third-party rights;

obtain or provide alcohol for a person under 21 or visibly intoxicated person;

provide false age, identity, payment, billing, delivery, or eligibility information;

commit fraud, evade limits, manipulate allocations, or facilitate unauthorized resale or export;

upload malware, probe vulnerabilities, interfere with security, or disrupt infrastructure;

scrape, crawl, harvest, or use automated purchasing or access methods without written authorization or legal permission;

collect another person’s information without authority;
-
send spam, phishing, deceptive solicitations, or harmful content; or
-
copy, resell, or exploit the Services contrary to these Terms.
We may investigate suspected violations and preserve or disclose information when reasonably necessary to comply with law, enforce agreements, protect users, or address fraud or security.
17. Suspension and Termination
We may suspend or terminate access when we reasonably believe you materially violated these Terms, created fraud, safety, security, or legal risk, or when required by law. We will provide notice and a reasonable opportunity to respond when practicable. Immediate action may be taken to prevent imminent harm or comply with law.
Termination does not eliminate obligations that arose beforehand or automatically cancel an accepted order. Provisions that by nature should survive—including payment, intellectual property, Feedback, disclaimers, liability limitations, indemnification, and dispute provisions—will survive.
18. Warranty Disclaimer
To the fullest extent permitted by law, the Services and informational content are provided “as is” and “as available.”Except for an express written warranty and warranties that cannot legally be excluded, Prime Barrel disclaims express and implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising from course of dealing or trade usage.
We do not warrant uninterrupted, secure, timely, or error-free operation or that every product will satisfy subjective expectations. Product-specific warranties, if any, will be stated with the product. Some jurisdictions do not allow certain disclaimers, so this section may apply only in part.
19. Limitation of Liability
To the fullest extent permitted by law, Prime Barrel and its affiliates, officers, directors, employees, agents, contractors, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, revenue, goodwill, data, or business opportunities, arising from the Services or these Terms, even if advised that such damages were possible.
To the fullest extent permitted by law, our aggregate liability will not exceed the greater of (a) the amount paid to us for the product, order, Membership, or event giving rise to the claim during the 12 months before the event giving rise to liability, or (b) $100.
These limitations do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence where it cannot be limited, breach of an express written warranty, a non-waivable statutory right, or liability that law does not permit us to limit.
20. Indemnification
To the extent permitted by law, you will indemnify and defend Prime Barrel and its affiliates, officers, directors, employees, and agents against third-party claims, damages, judgments, and reasonable legal fees arising directly from your unlawful misuse of the Services, material breach of these Terms, or content you submit that violates another person’s rights. You are not required to indemnify a party for its own negligence, willful misconduct, or legal violation.
We will provide reasonable notice and may control the defense with counsel of our choice. We will not settle a claim in a manner imposing an admission or non-monetary obligation on you without your consent, not to be unreasonably withheld.
21. Events Outside Reasonable Control
Neither party is responsible for delay or failure caused by events outside reasonable control, including natural disasters, severe weather, labor disruptions, carrier or network failure, governmental action, embargo, epidemic, civil unrest, or supply interruption. This section does not excuse accrued payment duties or eliminate cancellation, refund, shipment-delay, or other rights required by law.
22. Electronic Communications
You consent to transaction-related notices by email or through the Services. Electronic notices satisfy writing requirements to the extent permitted by law. Marketing is governed by applicable law and our Privacy Policy; you may opt out as stated in the message.
23. Informal Dispute Resolution
Before filing a lawsuit other than an eligible small-claims matter or request for urgent injunctive relief, the complaining party should send a written notice describing the dispute, supporting facts, requested relief, and relevant order or account information.
Notices to Prime Barrel must be sent to hello@primebarrel.com with the subject Legal Dispute Notice and by mail to the address below. The parties will attempt in good faith to resolve the dispute for 30 days after receipt. Any applicable limitation period will be tolled during that 30-day period where permitted by law.
This section does not require arbitration and does not prevent a consumer from contacting a regulator, attorney general, payment provider, or other authority or exercising a non-waivable right.
24. Governing Law and Venue
These Terms and disputes arising from them are governed by District of Columbia law and applicable federal law, without regard to conflict-of-laws principles. Judicial proceedings must be brought in the Superior Court of the District of Columbia or the United States District Court for the District of Columbia, and each party consents to personal jurisdiction and venue there.
This section does not deprive a consumer of non-waivable protections under the law of the consumer’s residence and does not prevent an eligible small-claims filing or appropriate emergency or injunctive relief.
25. Changes to These Terms
We may update these Terms prospectively. Revised Terms will be posted with a new date, and additional notice will be provided where required. Changes will not retroactively alter an accepted order or accrued benefit unless required by law or agreed by the affected person.
Continued use after revised Terms take effect constitutes acceptance for future use. Transaction-specific terms remain applicable to the corresponding transaction.
26. General Terms
If a provision is unlawful or unenforceable, it will be enforced to the maximum lawful extent and the remainder will remain effective. Failure to enforce a provision is not a waiver. Headings are for convenience only.
You may not assign these Terms or an account without written consent. We may assign them in connection with a merger, acquisition, financing, reorganization, asset sale, or operation of law, provided that non-waivable rights are not reduced.
These Terms and incorporated policies are the entire agreement concerning the Services and replace prior agreements on the same subject. A clear, specific offer term controls for that offering. You acknowledge that you are not relying on an oral statement that is not included in the accepted order or applicable written terms. No ambiguity will be construed against a party solely because it drafted the provision.
No person other than you and Prime Barrel is an intended beneficiary of these Terms, except that indemnified parties may enforce provisions expressly benefiting them.
