Membership and Digital Asset Terms

These Membership and Digital Asset Terms (“Membership Terms”) govern Prime Barrel memberships, clubs, digital collectibles, blockchain-based tokens, wallet-connected access, and associated benefits (“Memberships”) offered by The Prime Barrel, LLC, doing business as Prime Barrel (“Prime Barrel,” “we,” “us,” or “our”).

These Membership Terms supplement our Terms of Service, Privacy Policy, Refund Policy, and any tier description or offer terms shown before purchase. By purchasing, receiving, holding, connecting, transferring, or using a Membership, you agree to these Membership Terms. If you do not agree, do not purchase or use a Membership.

1. Eligibility

You must be at least 21 years old and legally eligible to receive Membership benefits. We may require identity, age, sanctions, fraud, wallet-ownership, or eligibility verification before issuing or honoring a Membership or alcohol-related benefit.

Membership access does not override alcohol laws. Products, shipping, tastings, events, drawings, and other benefits remain subject to availability, geographic restrictions, identification requirements, product limits, and applicable law.

2. What a Membership Is

A Membership is a contractual right to access the benefits associated with the applicable tier, subject to these Membership Terms. A Membership may be represented or authenticated by a non-fungible token (“Token”), wallet credential, account record, or other access technology.

A Token is an access and verification mechanism. It does not give its holder:

• equity, ownership, revenue, profits, assets, or voting securities in Prime Barrel;

• a right to dividends, distributions, repayment, interest, or financial return;

• legal ownership of Prime Barrel trademarks, artwork copyrights, product inventory, barrels, or other intellectual property;

• a guaranteed allocation or right to purchase any particular alcoholic beverage; or

• authority to bind, manage, or act for Prime Barrel.

Community surveys or votes are advisory unless a specific written offer expressly states that a particular result is binding. Prime Barrel retains responsibility for legal, operational, financial, and product decisions.

3. Meaning of “Lifetime”

When a Membership is described as “lifetime,” it means that the Membership does not require a periodic renewal fee and may remain eligible for the applicable continuing benefits while:

• the Membership program is operated by Prime Barrel;

• Prime Barrel remains in business and legally able to offer the applicable benefits;

• the Membership or Token remains valid and is held by an eligible person; and

• the Membership has not been suspended, surrendered, redeemed, or terminated under these Membership Terms.

“Lifetime” does not mean the biological lifetime of the original purchaser, perpetual corporate existence, a guaranteed minimum program duration, or an obligation to provide every present benefit forever. This definition must be read together with the benefit-preservation and program-change protections below.

4. Benefits

The benefits included in a Membership are those materially described for the applicable tier at the time of purchase, subject to disclosed qualifications. Benefits may include early access, member-only purchase opportunities, discounts, content, communities, tastings, events, drawings, invitations, merchandise, or promotional products.

Unless expressly stated otherwise:

• “access” or “opportunity to purchase” does not guarantee inventory, allocation, price, or successful checkout;

• invitations may be capacity-limited and may involve separate travel, lodging, admission, product, shipping, tax, or third-party costs;

• products and experiences may be substituted with reasonably comparable benefits when the original benefit becomes unavailable, illegal, unsafe, or commercially impracticable;

• alcohol-related benefits are limited to eligible persons and destinations;

• complimentary products have no cash value and may not be exchanged or transferred separately; and

• benefits are personal to the current verified holder and may not be separately sold, rented, sublicensed, or divided.

We may use reasonable rules, deadlines, reservation systems, drawings, purchase limits, or verification procedures to administer scarce benefits fairly and lawfully.

5. Program Changes

We may modify the format, delivery method, schedule, vendors, technology, or composition of continuing benefits when reasonably necessary for legal compliance, safety, security, availability, technology, or operation of the program.

We will not intentionally eliminate the material value of a paid Membership without providing, where reasonably practicable and legally required, advance notice and a reasonably comparable substitute, credit, partial refund, or other appropriate remedy based on the circumstances. No change limits a non-waivable consumer right or relieves us from an express obligation already due.

We may discontinue the program because of law, loss of required licensing, insolvency, force majeure, technological failure that cannot reasonably be replaced, or cessation of Prime Barrel’s business. Any remedy will be determined under the original offer, applicable law, benefits already received, and the circumstances of discontinuation.

6. Purchase, Fees, and Taxes

Prices and payment methods are shown before purchase. A Membership may be purchased using traditional payment methods, cryptocurrency, or another supported method. You are responsible for network, wallet, exchange, currency-conversion, gas, tax, and third-party transaction charges unless expressly stated otherwise.

You are responsible for taxes arising from your purchase, ownership, use, or transfer, other than taxes imposed on Prime Barrel’s net income. Prime Barrel does not provide tax advice.

An order acknowledgment or blockchain submission does not constitute acceptance. We may reject or cancel a transaction before delivery for fraud, pricing error, ineligibility, sanctions, technical failure, legal restriction, or unavailability. If we cancel after receiving payment and no Membership is delivered, we will issue the appropriate refund, subject to legally required verification and any unavoidable network fees disclosed before purchase.

7. Wallets, Custody, and Blockchain Risks

You are responsible for selecting and securing any wallet you use, protecting private keys and recovery phrases, and confirming the correct wallet address and network. Prime Barrel will never ask you to send a private key or recovery phrase.

Public blockchain transactions may be permanent, publicly visible, and irreversible. Blockchains, wallets, exchanges, marketplaces, smart contracts, and internet services may experience congestion, forks, exploits, outages, errors, malicious activity, regulatory intervention, or loss of support. Third-party services are governed by their own terms.

We do not guarantee that any blockchain, Token standard, wallet, marketplace, or third-party service will remain available, compatible, secure, or free of error. If reasonably necessary, we may migrate verification to another Token, network, account credential, or technology, provided we offer a reasonable process for eligible holders to preserve access.

8. Transfers

A transferable Membership may be transferred only through a supported and lawful method. The transferor loses associated benefits when a transfer is recognized. The recipient must be eligible, accept the then-applicable Membership Terms, complete requested verification, and lawfully hold and use the Membership.

Prime Barrel does not operate or control independent secondary markets and does not guarantee that a Membership can be sold, transferred promptly, listed, or converted to cash. Transferability does not imply liquidity or future value.

We may refuse to recognize a transfer that is fraudulent, unlawful, sanctions-prohibited, technically invalid, associated with a stolen or compromised Token, made to an ineligible person, or designed to evade product limits or other rules. Reasonable verification delays may apply.

9. No Investment or Resale Promise

Memberships are offered for access to membership benefits and personal use—not for investment, speculation, passive profit, or financial return. Prime Barrel makes no representation or warranty about present or future market value, appreciation, scarcity value, resale price, demand, liquidity, tax treatment, or legal classification.

You should purchase a Membership only if you value its stated benefits and can afford to lose the full purchase price. Do not rely on statements by community members, influencers, marketplace participants, or unaffiliated third parties as promises by Prime Barrel.

10. Lost, Stolen, or Compromised Access

Notify us promptly if a Token, wallet, or account may be lost, stolen, or compromised. Because blockchain transfers may be irreversible, we may be unable to restore a Token or reverse a transaction. Any migration or replacement process is discretionary unless otherwise required by the offer terms or law and may require identity, purchase, control, and fraud verification.

We may temporarily suspend benefits associated with a disputed Token while investigating competing claims. Prime Barrel’s recognition of a holder for benefit administration does not adjudicate legal title to a Token or resolve disputes between third parties.

11. Refunds

Membership transactions are governed by our Refund Policy. Except where required by law or expressly stated in the applicable offer, purchases are final after the Membership or Token is delivered or minted.

A change in cryptocurrency price, network fees, secondary-market price, inability to resell, buyer’s remorse, or loss caused by a holder’s wallet or transfer error does not create a refund right. This does not limit remedies for Prime Barrel’s breach, nondelivery, fraud, or another non-waivable right.

12. Conduct and Suspension

You may not use a Membership to violate law, obtain alcohol for an ineligible person, commit fraud, manipulate allocations, harass others, compromise security, infringe rights, impersonate another holder, or damage the program or community.

We may suspend access while investigating credible fraud, security, safety, eligibility, or legal concerns. We may terminate benefits for a material violation after notice and a reasonable opportunity to respond when practicable. Immediate action may be taken where required by law or reasonably necessary to prevent imminent harm. Suspension or termination does not transfer ownership of a Token to Prime Barrel.

13. Intellectual Property

Unless an offer expressly provides a separate license, holding a Membership or Token grants only a limited, revocable, non-exclusive, non-transferable right to display associated artwork for personal, non-commercial purposes while you lawfully hold the Token. No commercial merchandising, trademark, derivative-work, or intellectual-property rights are granted.

14. Disclaimers and Liability

The warranty disclaimers, limitations of liability, indemnification provisions, governing law, venue, and dispute provisions in our Terms of Service apply to Memberships. They do not exclude liability or rights that cannot legally be excluded.

15. Conflicts and Updates

If these Membership Terms conflict with the Terms of Service, these Membership Terms control for Membership-specific matters. A clear, transaction-specific written promise shown at purchase controls over a more general provision for that transaction.

We may update these Membership Terms prospectively. Material changes will be communicated as required by law and will not retroactively eliminate an accrued paid benefit or alter a completed transaction except where required by law or accepted by the affected holder.
